Corporate Commercial Issues

I am counsel to a number of corporations in the province of Ontario. I have addressed all aspects of their corporate issues including financing, annual reports and employment issues.

Clients very often want to discuss shareholder issues. In small non-publicly traded corporations, because the articles, bylaws and shareholders agreements do not set up all matters in a way that ordinary people understand, they end up facing issues such as:

  • how do I get my investment out now that the other shareholders are disagreeing?
  • how do I determine the value of my investment without the process costing too much?
  • How do I move out a disputing shareholder?
  • When I am a minority shareholder, how do I take action to protect my investment and get my money back?

I have significant experience dealing with the Ontario Business Corporations Act and the Canada Business Corporations Act. I have acted for both majority and minority shareholders in relation to oppression remedies.

My firm regularly incorporates companies, draws up the bylaws and articles, files your documents, conducts your first meeting of directors and first meeting of shareholders, takes care of the election of your directors, appointment of officers and drafting of minutes in order to put your corporation in running order.

You will find that when this is done right at the beginning, many of the associated problems that arise from not foreseeing issues (such as shareholders trying to get their money back or force sale of assets or take over the company), do not arise if the commencement is correct.

You will find that all of your corporate commercial issues can be addressed at a fraction of the cost of major firms.
